These Terms & Conditions apply to your use of the Free Soul website.

Please read these Terms carefully before using our website. By using our website, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use our website. If you purchase Products from our site, our terms and conditions of supply will apply to the sales, found below.

These Terms should be read alongside our Privacy Policy (which explains how we collect, use and store your personal data), Cookie Policy (which sets out the information about the cookies on our site), Delivery Policy and Returns Policy.

2.   Definitions

2.1 In these Terms:

“Free Soul”, “we”, “us” or “our” means ARA FITNESS LIMITED trading as Free Soul.

“Website” means freesoul.com and any associated pages operated by us.

“Products” means the products available to purchase through our Website.

“Order” means an order placed by you through our Website

“Subscription” means a recurring order for Products selected by you

“You” or “your” means the person using our Website or placing an Order.

3.   Eligibility

3.1 You must be at least 18 years old to use our Website, create an account, place an Order or purchase a Subscription.

3.2 By using our Website or placing an Order, you confirm that you are legally capable of entering into a binding contract.

4.   Using our Website

4.1 You agree that you will not:

  • use our Website in any way that is unlawful, fraudulent or harmful;
  • interfere with the security, availability or performance of our Website;
  • introduce viruses, trojans, worms, logic bombs malware or any other material that is malicious or technologically harmful, or otherwise harmfully interacting with our Website or any part of it;
  • attempt to gain unauthorised access to our Website, the server on which our Website is stored or any server, computer or database connected to our Website or any other equipment or network connected with our Website;
  •  interfere with, damage or disrupt any software used in the provision of our Website or any equipment or network or software owned or used by any third party on which this Website relies in any way;
  • attack our Website via a denial-of-service attack or a distributed denial- of- service attack;
  • scrape, data mine or otherwise collect information from our Website without our prior written consent;
  • use our Website to send unsolicited marketing communications;
  •  impersonate another person or provide false, inaccurate or misleading information; or
  • use our Website in any way that infringes the rights of Free Soul or any third party.

4.2 We may suspend, restrict or terminate your access to our Website if we reasonably believe you have breached these Terms.

5.   Accounts

5.1 You may need to create an account to place an Order, manage a Subscription or access certain features of our Website.

5.2 You are responsible for keeping your login details confidential and for all activity that takes place under your account. You must not disclose any such information to any third-party.

5.3 You must ensure that the information in your account, including your name, delivery address, billing address and payment details, is accurate and kept up to date.

5.4 If you become aware of any unauthorised use of your account, please contact us as soon as possible at hello@freesoul.com.

6.   Intellectual property

6.1 We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. All intellectual property rights in our Website and its content, including text, images, graphics, logos, icons, videos, product names, recipes, designs, layout and branding is protected by copyright, trade mark and other intellectual property laws. All such rights are reserved.

6.2 You may access and use our Website for personal, non-commercial purposes only.

6.3 Unless otherwise stated, all rights in the Website and its content are owned by or licensed to ARA FITNESS LIMITED, trading as Free Soul.

6.4 You may not copy, reproduce, modify, publish, distribute, sell, license, exploit or use any part of the Website or its content for commercial purposes without our prior written consent.

7.   Links to our Website

7.1 You must not establish a link to our site in any Website that is not owned by you and you must not use any link to our Website in a manner that does, or may, damage our reputation or take advantage of it.

7.2 Our Website must not be framed on any other site, nor may you create a link to any part of our Website other than the home page. We reserve the right to withdraw linking permission without notice.

8.1 Our Website may contain links to third-party websites or services, which are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

8.3 Accessing third-party websites is at your own risk.

10. Availability of the Website

10.1 We aim to keep our Website available and functioning properly, but we do not guarantee that it will always be available, uninterrupted, secure or error-free.

10.2 We may suspend, withdraw, update or change all or part of our Website at any time.

10.3 You are also responsible for ensuring that all persons who access our Website through your internet connection are aware of these terms of service and other applicable terms of service, and that they comply with them.

10.4 We do not guarantee that our Website will be secure or free from bugs or viruses.

10.5 You are responsible for configuring your information technology, computer programs and platform to access our Website. You should use your own virus protection software. 

11. Liability for Website usage

11.1 Nothing in these Terms excludes or limits our liability where it would be unlawful to do so.

11.2 This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any other liability that cannot be excluded or limited by law.

11.3 Whether you are a consumer or a business user:

  • Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any products to you, which is set out at clause 11of our Terms and Conditions for Supply of Products.

11.4 If you are a business user:

  • We exclude all implied conditions, warranties, representations or other terms that may apply to our Website or any content on it.
  • We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with (a) use of, or inability to use, our Website; or (b) use of or reliance on any content displayed on our Website. In particular, we will not be liable for (a) loss of profits, sales, business, or revenue; (b) business interruption; (c) loss of anticipated savings; (d) loss of business opportunity, goodwill or reputation; or (e) any indirect or consequential loss or damage.

11.5 If you are a consumer user:

  • We only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

11.3 Subject to clauses 11.1 and 11.2, we are not liable for:

  • loss caused by events outside our reasonable control;
  • business losses, including loss of profit, revenue, business, opportunity or goodwill;
  • loss or corruption of data;
  • indirect or consequential loss; or
  • your misuse of our Website or Products.

19.4 These Terms do not affect your statutory rights as a consumer.

12. Breach of these Terms

12.1 If you breach these Terms, or we reasonably suspect that you have breached these Terms, we may:

  •  issue a warning;
  • suspend or terminate your account;
  • restrict or block your access to our Website;
  • cancel Orders or Subscriptions;
  • remove content submitted by you; and/or
  • take legal action where appropriate.

13. Severability

13.1 If any part of these Terms is found to be unlawful, invalid or unenforceable, the remaining parts will continue in full force and effect.

14.  Governing law and jurisdiction

14.1 These Terms are governed by English law.

14.2 Any disputes relating to these terms and conditions are subject to the exclusive jurisdiction of the courts of England.

Terms and Conditions for Supply of Products

1.   Definitions

  • “Products” means the products available to purchase through our Website.
  • “Order” means an order placed by you through our Website.
  • “Subscription” means a recurring order for Products selected by you.

2.  Orders

2.1 When you place an Order through our Website, you are making an offer to purchase the Products in your basket.

2.2 Your Order will only be deemed accepted when we send you an order confirmation email. At that point, a contract is formed between you and us.

2.3 We reserve the right to reject or cancel an Order where:

  • a Product is unavailable;
  • there is an error in the price or description of a Product;
  • we are unable to authorise your payment;
  • we reasonably suspect fraud, misuse or breach of these terms and conditions; or
  • you are located outside our delivery areas, as stated on our website (see https://freesoul.com/pages/delivery).

2.4 If we cancel an Order after payment has been taken, we will refund you in full for the cancelled item, Order or Subscription.

3.   Product information

3.1 We try to ensure that all Product descriptions, images, ingredients, nutritional information, prices and availability details on our Website are accurate and up to date.

3.2 Product images are for illustrative purposes only. Packaging, colours, labels or appearance may vary from the images shown on our Website.

3.3 You should always check the Product packaging, ingredients, allergen information, directions for use and warnings before consuming or using any Product.

3.4 We can always change a Product (a) to reflect changes in relevant laws and regulatory requirements or (b) to make minor technical adjustments and improvements.

3.5 We can suspend the supply of a Product at our discretion, and will let you know in advance, unless the problem is urgent or an emergency. If we suspend supply, or tell you we’re going to suspend supply for longer than 60 days, you can contact our Customer Service team at hello@freesoul.com to end the contract and we’ll refund you any sums you’ve paid for in advance for Products you won’t receive.

 

4.   Health and wellbeing information

4.1 Information on our Website, including articles, product descriptions, guides, emails and social media content, is provided for general information only.

4.2 Our content is not intended to diagnose, treat, cure or prevent any disease or health condition, and should not be treated as medical advice.

4.3 You should speak to a qualified healthcare professional before using supplements or making changes to your diet, particularly if you are pregnant, breastfeeding, taking medication, have a medical condition or have any health concerns.

5.   Prices and payment

5.1 Prices are shown in pounds sterling and include VAT where applicable, unless stated otherwise.

5.2 Delivery charges, if applicable, will be shown at checkout before you place your Order. You can see an indication of our delivery charges at https://freesoul.com/pages/delivery, however we reserve the right to change these from time to time and therefore the specific delivery cost for your Order will be that shown at checkout.

5.3 We may change Product prices at any time. Price changes will not affect Orders that we have already accepted, except where there has been an obvious pricing error.

5.4 Payment must be made using one of the payment methods available at checkout.

5.5 We charge you when you place your Order for the Products. However, for some options available on our website, such as Subscriptions, we take payment at regular intervals, as explained to you during the order process. You will own those Products (whether purchased on Subscription or otherwise) once we have received payment in full.

5.6 By submitting payment details, you confirm that you are authorised to use that payment method.

5.7 If we’re unable to collect any payment you owe us, we charge interest on the overdue amount at the rate of 4% a year above the Bank of England base rate from time to time. This interest accrues on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You pay us the interest together with any overdue amount.

5.8 If the rate of VAT changes between your order date and the date we supply the Products, we adjust the rate of VAT that you pay, unless you have already paid in full before the change in the rate of VAT takes effect. 

6.   Promotions, discounts and gifts

6.1 From time to time, we may offer discount codes, promotional prices, free gifts, bundles or other offers.

6.2 Promotions are subject to availability and may be amended or withdrawn at any time.

6.3 Unless stated otherwise:

  • promotions cannot be used in conjunction with any other offer;
  • discount codes are valid for one use per customer;
  • promotions have no cash value;
  • promotions cannot be applied retrospectively to previous Orders;
  • the provision of any free gift that may be offered as part of any promotion is subject to the availability of that free gift; and
  • where a free gift is offered subject to a minimum spend, the free gift may need to be returned if returning Products brings the Order below the qualifying spend.

6.4 Additional terms may apply to specific promotions and will be displayed on the relevant page or offer.

7.   Delivery

7.1 We will deliver Products to the delivery address you provide at checkout. You are responsible for ensuring your delivery address is complete and accurate.

7.2 Estimated delivery times are estimates only and are not guaranteed unless expressly stated.

7.3 We are not responsible for delays outside our reasonable control, including courier delays, customs delays, adverse weather, strikes or technical issues. In the event of a delay caused by an event outside our control, we will contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won’t compensate you for the delay, but if the delay is likely to be substantial, you can contact our Customer Service Team at hello@freesoul.com to end the contract and receive a refund for any Products paid for in advance that you have not received. 

7.4 If an Order is delayed, lost or returned because you provided incorrect or incomplete delivery information, we may not be able to refund delivery charges or resend the Order free of charge.

8.   Returns, cancellations and refunds

8.1 Your legal rights are not affected by these Terms.

8.2 If a Product is faulty, not as described or not fit for purpose, you may be entitled to a refund, repair or replacement under UK consumer law.

8.3 For most online purchases, consumers have cancellation rights. However, certain goods may be excluded, including sealed goods that are not suitable for return due to health protection or hygiene reasons once unsealed.

8.4 Please refer to our Returns Policy (at https://freesoul.com/pages/returns) for details of how to return Products, applicable timeframes and any exclusions.

8.5 To request a return or refund, contact us at hello@freesoul.com with your order number and details of the issue.

9.  Subscriptions

9.1 Free Soul Subscriptions allow you to receive selected Products on a recurring basis.

9.2 When you purchase a Subscription, your first Order will be processed at checkout. Future Orders will be created and charged automatically according to the renewal plan linked to your Subscription. You can prevent a Subscription from auto-renewing at the end of its current term through your online account.

9.3 By purchasing a Subscription, you authorise us and our payment providers to take recurring payments from your selected payment method until your Subscription is cancelled, paused or otherwise ended in accordance with these terms and conditions.

9.4 Eligible Subscription Products may receive a recurring subscription discount as displayed on the Website.

9.5 The discount, frequency options and Products available for Subscription may vary from time to time. Unless a specific offer states otherwise, Subscriptions do not have a minimum commitment.

9.6 You can manage your Subscription through your Free Soul account. Depending on the available options, you may be able to change your delivery frequency, update your next order date, skip an order, pause your Subscription, update your address or payment details, change Products or flavours, or cancel your Subscription.

9.7 You are responsible for keeping your account, delivery and payment details accurate and up to date.

9.8 You will be charged for your first Subscription Order at checkout. Future Subscription Orders will be charged automatically using your saved payment method on or around your renewal date.

9.9 We will send you a renewal reminder before your next Subscription payment is due. Our current process is to send this reminder by email and/ or text message at least three days before payment is taken.

9.10 If payment fails, we may retry payment, contact you via email to update your payment details, delay dispatch, pause your Subscription or cancel your Subscription.

9.11 You may cancel, pause or skip your Subscription through your account. To avoid being charged for your next Subscription Order, you must make any changes before the relevant cut-off. Our current cut-off is one business day before renewal. If you cancel, pause or skip after the cut-off, your next Subscription Order may already have been processed and charged. In that case, your change may take effect from the following Subscription Order.

9.12 Cancelling a Subscription stops future recurring Orders. It does not automatically cancel, refund or recall an Order that has already been processed, dispatched or delivered.

9.13 We may change Product prices, delivery charges, Subscription discounts or Subscription availability from time to time. If a price change affects your existing Subscription, we will give you reasonable notice before the change takes effect. If you do not wish to accept the price change, you may cancel your Subscription before the new price applies.

9.14 Subscription Products are subject to availability. If a Product in your Subscription is unavailable, discontinued or changed, we may offer a replacement, delay the Subscription Order, skip the affected Product or cancel the affected Subscription and provide you with a refund. Your statutory rights are not affected.

10. User comments, reviews and submissions

10.1 If you submit comments, reviews, feedback, images, videos, testimonials, social media content or other material to us, you confirm that:

  • the material is your own original work or you have permission to share it;
  • the material is accurate and not misleading;
  • the material does not infringe anyone else’s rights;
  • the material is not unlawful, abusive, defamatory, obscene or discriminatory; and
  • the material does not contain viruses, malware or harmful code.

10.2 You grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, edit, publish, display and distribute the material for our business purposes, including marketing and promotional purposes.

10.3 We may remove or edit user-submitted material at our discretion.

11.   Liability

11.1 We're not responsible for losses you suffer caused by us breaking this contract if the loss is:

  • Unexpected or unforseeable (i.e. it was not obvious that it would happen and nothing you said to us before we accepted your Order meant we should have expected it).
  • Caused by a delaying event outside our control.
  • Avoidable (i.e. something you could have avoided by taking reasonable action, including following our reasonable instructions for use).

11.2 To the extent that you use a Product for the purposes of your trade, business, craft or profession then, save in respect of any liability which cannot legally be limited, our total liability to you for all losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to what you paid for the product and all claims for loss of profit or indirect or consequential loss are wholly excluded.

13. Governing law and jurisdiction

13.1 These terms are governed by English law and any disputes relating to these terms and conditions are subject to the exclusive jurisdiction of the courts of England.

 

14.  General terms

14.1 We can transfer our contract with you, so that a different organisation is responsible for supplying your Product and/or fulfilling your Order or Subscription. We'll contact you to let you know if we plan to do this. If you're unhappy with the transfer you can contact our Customer Service Team at hello@freesoul.com to end the contract within 30 days of us telling you about it and we will refund you any payments you've made in advance for Products not provided. You can only transfer your contract with us to someone else if we agree to this.

14.2 Nobody else has any rights under this contract. This contract is between you and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.

14.3 If a court invalidates some of this contract, the rest of it will still apply. If a court or other authority decides that some of these terms are unlawful, the rest will continue to apply.

14.4 Even if we delay in enforcing this contract, we can still enforce it later. We might not immediately chase you for not doing something (like paying) or for doing something you're not allowed to, but that doesn’t mean we can't do it later.

 

15. Money Back Guarantee

15.1 This Money-Back Guarantee is offered in addition to your statutory rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013.

15.2 If you are not happy with your Product, you are entitled to a full refund under this Money-Back Guarantee if you notify us of your request within 30 days from the date of delivery of the Product.

15.3 To qualify for a refund under the Money- Back Guarantee, you must email us at hello@freesoul.com and must provide certain requested information, within the timeframe we specify, in order to qualify for the Money-Back Guarantee. You must:

  • Provide proof of purchase;
  • If requested by us, return the Product to us in its original condition, subject to reasonable wear and tear from normal use;  and
  • Follow our return instructions communicated to you, which includes completion of our returns form.

15.4 This Money-Back Guarantee does not apply to:

  • Products damaged due to misuse, neglect, or unauthorised modification;
  • Products purchased at clearance or final sale- pricing unless otherwise stated.

15.5 Upon receiving the returned Product and confirming eligibility, we will issue a refund to your original payment method within 30 days. Shipping fees, customs duties, and other thirdparty charges are nonrefundable unless required by law.

15.6 This Money- Back Guarantee is limited to the original purchaser of the Products and cannot be transferred. We reserve the right to refuse a refund if the returned Product does not meet the eligibility requirements stated above.

15.7 This Money-Back Guarantee applies only to selected Products, as indicated on the relevant Product page at the time of purchase.

15.8 Please note that this Money-Back Guarantee is only available on the first purchase by you of a specific Product. Subsequent purchases (including second or more Subscription renewals) are wholly excluded from this Money-Back Guarantee.

15.9 Each customer is only entitled to make one claim under this Money-Back Guarantee.

15.10 Any quality issues relating to defective, damaged or non-conforming Products are dealt with separately under our Returns Policy and are not part of this Money-Back Guarantee.

15.11 All requests made under this Money-Back Guarantee are subject to our reasonable discretion. We may refuse a claim where you do not meet our eligibility requirements, or where misuse, negligence or unauthorised modification is evident.
